These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you” or “User”) and USA Factory Network (“we,” “our,” or “us”), governing your access to and use of usafactorynet.com (the “Site”) and all related services, features, and functionality (collectively, the “Services”).
By accessing or using the Services, creating an account, or submitting a request or form on the Site, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not use the Services.
You represent and warrant that you are at least 18 years of age, that you have the legal authority to enter into these Terms, and that if you are acting on behalf of a business entity, you are authorized to bind that entity to these Terms.
Description of Services
USA Factory Network is a business-to-business (B2B) marketplace that connects food and beverage brands (“Buyers”) with FDA-registered American manufacturers (“Manufacturers”) offering co-packing, private-label, and contract manufacturing services. Our geographic focus is limited to manufacturers located in the United States and serving US regions.
Our Services include:
- A searchable directory of verified American manufacturers
- A structured request submission system for Buyers to describe their manufacturing needs
- AI-powered matching that connects Buyers with suitable Manufacturers based on capabilities, certifications, capacity, and other criteria
- A quoting system for Manufacturers to respond to Buyer requests with pricing and terms
- In-app messaging for direct communication between matched Buyers and Manufacturers
- Team management features for Manufacturer accounts
- A support system for platform-related inquiries
- A two-tier system (Basic and Premium) offering different levels of platform features and access for Manufacturers
- Subscription-based Premium plans with enhanced capabilities, including unlimited lead responses, team management, media galleries, certification verification, and priority support
- A knowledge base of industry resources, guides, and articles
USA Factory Network serves as an introductory platform only. We do not manufacture goods, provide warehousing, handle logistics, guarantee product quality, or participate in any transaction between Buyers and Manufacturers.
User Accounts
3.1 Registration
To access certain features of the Services, you must create an account using an email address and password, Google OAuth, or LinkedIn OAuth authentication. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.
3.3 Account Types and Roles
The platform supports the following user roles:
- Visitor: unauthenticated users who may browse the manufacturer directory and public profiles
- Buyer: registered users who may submit manufacturing requests, view matches, receive and review quotes, and communicate with Manufacturers
- Manufacturer (Basic): users who have claimed a manufacturer listing. Basic accounts may view up to 5 leads per month, manage their profile, respond to quotes (subject to monthly limits), and communicate with Buyers
- Manufacturer (Premium): Manufacturers with an active Premium subscription. Premium accounts receive unlimited lead responses, unlimited messaging, team member management, media gallery uploads, certification verification, and priority support chat access
- Admin: designated platform administrators with full access to manage the platform
3.4 Team Management
Manufacturer account owners may invite additional team members by email. Team members may be assigned “owner” or “member” roles. Invitations are subject to an expiration date. The inviting party is responsible for ensuring that all invited team members comply with these Terms.
3.5 Account Deletion
You may delete your account at any time through your account settings by confirming your password and typing “DELETE.” Upon deletion, your profile information will be removed; however, certain data (such as past requests, quotes, and messages) will be reassigned to a system placeholder to preserve the integrity of historical records. The last remaining administrator of a Manufacturer team account cannot delete their account without first transferring administrative rights.
Buyer Terms
4.1 Request Submissions
Buyers may submit manufacturing requests through our structured request form. By submitting a request, you represent that all information provided is accurate and that you have the authority to make such a request on behalf of your organization. Each request requires acceptance of these Terms before submission.
4.2 Matching and Quotes
Our platform uses AI-powered matching to connect Buyer requests with suitable Manufacturers. Match results are provided as recommendations only and do not constitute an endorsement, guarantee, or warranty of any Manufacturer's capabilities, quality, pricing, or suitability. Quotes provided by Manufacturers through the platform are informational and non-binding unless separately agreed upon between the parties outside the platform.
4.3 Form Drafts
The Buyer request form may auto-save draft data to your browser's localStorage. Drafts are stored locally on your device and are cleared upon successful form submission. We do not store form draft data on our servers.
Manufacturer Terms
5.1 Profile Claims
Manufacturers may claim existing listings on the platform by submitting a claim form. By submitting a claim, you represent and warrant that you are authorized to act on behalf of the listed business entity. You confirm this authorization through the required authorization checkbox on the claim form.
5.2 Profile Accuracy
Manufacturers are solely responsible for the accuracy and completeness of their profile information, including company description, certifications, capabilities, minimum order quantities, lead times, and contact details. Misrepresentation of capabilities, certifications, or any other material information is a violation of these Terms and may result in removal from the platform.
5.3 Quoting
When responding to Buyer requests with quotes, Manufacturers agree to provide accurate pricing and terms. All pricing is displayed in US dollars (USD). Quotes submitted through the platform are informational and do not constitute binding offers unless separately agreed upon in writing between the Buyer and Manufacturer outside the platform.
5.4 Service Tiers
Manufacturer accounts are subject to the following tier structure:
(a) Basic Tier (Free). Basic accounts include: a public directory listing, up to 5 lead responses per calendar month, up to 5 conversations per month, a single user account, standard AI matching, and a profile description limited to 500 characters.
(b) Premium Tier (Paid Subscription). Premium accounts include: unlimited lead responses and conversations, multiple team member accounts, a media gallery (up to 10 photos, 3 videos, and 5 documents), certification verification, priority AI matching with a scoring multiplier, priority support chat, and an extended profile description (up to 5,000 characters).
Monthly usage limits for Basic accounts reset on the first day of each calendar month at midnight UTC. We reserve the right to modify tier features, pricing, and limits at any time upon reasonable notice.
Subscription Billing and Payments
6.1 Free and Paid Services
USA Factory Network offers both free (Basic) and paid (Premium) service tiers for Manufacturers. Buyer accounts are free. The quoting feature remains informational only — no purchases, invoicing, or monetary transactions between Buyers and Manufacturers occur on or through the platform. All commercial arrangements between Buyers and Manufacturers, including payment terms, must be negotiated and executed directly between the parties.
6.2 Subscription Plans
Premium subscriptions are available on a monthly or annual billing cycle. Current pricing is displayed on our “For Manufacturers” page. We reserve the right to change subscription pricing at any time; however, price changes will not affect your current billing period. We will notify you of pricing changes before your next renewal.
6.3 Payment Processing
All payment processing is handled by our third-party payment processor, Stripe, Inc. (“Stripe”). By subscribing to a Premium plan, you agree to Stripe's Terms of Service and Privacy Policy. Your payment information (credit card numbers, billing address) is collected and stored directly by Stripe — we do not store your full payment card details on our servers. We retain only a Stripe customer identifier and subscription identifier to manage your account.
6.4 Auto-Renewal
Subscriptions automatically renew at the end of each billing period (monthly or annually) unless you cancel before the renewal date. You authorize us to charge the payment method on file with Stripe for each renewal period.
6.5 Cancellation
You may cancel your subscription at any time through the Stripe billing portal accessible from your Manufacturer Portal. Upon cancellation, your Premium features will remain active until the end of your current paid billing period. After that date, your account will revert to the Basic tier.
6.6 Refunds
Subscription fees are non-refundable except where required by applicable law. If you believe you have been charged in error, please contact us at support@usafactorynet.com within 30 days of the charge.
6.7 Failed Payments
If a payment fails, your subscription status will be marked as past due and you will retain Premium access during a grace period while we attempt to collect payment. If payment cannot be collected, your subscription will be canceled and your account will revert to the Basic tier.
Communications
7.1 In-App Messaging
The Services include a real-time messaging feature that allows matched Buyers and Manufacturers to communicate directly. Messages and file attachments exchanged through this feature are stored on our servers and are accessible to both parties in the conversation as well as platform administrators.
7.2 Transactional Emails
By creating an account, you consent to receive transactional emails related to your use of the Services, including welcome messages, request confirmations, match notifications, quote notifications, message digests, password reset emails, team invitations, and administrative alerts. These transactional emails are necessary for the operation of the Services and cannot be fully disabled while your account is active.
7.3 Email Preferences
You may configure your email notification preferences, including message digest frequency (immediate, daily, weekly, or never) and per-type email toggles, through your account settings. Marketing emails are disabled by default and require your opt-in. Every email includes an unsubscribe link using HMAC-signed tokens (valid for 30 days).
User Content
8.1 Your Content
You retain ownership of all content you submit to the platform (“User Content”), including text, files, images, logos, and messages. By submitting User Content, you grant USA Factory Network a non-exclusive, royalty-free, worldwide license to use, store, display, reproduce, and transmit your User Content solely for the purpose of operating and providing the Services.
8.2 Content Standards
You agree that your User Content will not:
- Violate any applicable law, regulation, or third-party right
- Contain false, misleading, or fraudulent information
- Include malicious code, viruses, or harmful files
- Infringe upon any intellectual property, trademark, or proprietary right
- Contain defamatory, obscene, or otherwise objectionable material
- Attempt to impersonate another person or entity
8.3 File Uploads
The platform permits file uploads in designated areas (request attachments, quote attachments, chat attachments, and Manufacturer logos). File uploads are subject to the following limits: a maximum of five files per request (10 MB each, in PDF, PNG, JPG, DWG, STEP, STP, or STL format) and a maximum file size of 5 MB for Manufacturer logos (in PNG, JPG, WEBP, or SVG format). We reserve the right to remove any files that violate these Terms.
Intellectual Property
All intellectual property rights in the Services, including the Site's design, code, features, branding, logos, text, graphics, and software (excluding User Content), are owned by or licensed to USA Factory Network and are protected by US and international intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works based on the Services without our prior written consent.
The name “USA Factory Network,” the USA Factory Network logo, and all related marks are trademarks of USA Factory Network. You may not use these marks without our prior written permission.
Prohibited Conduct
You agree not to:
- Use the Services for any unlawful purpose or in violation of any applicable laws or regulations
- Attempt to gain unauthorized access to any part of the Services, other user accounts, or our systems
- Interfere with or disrupt the Services or servers and networks connected to the Services
- Use automated means (bots, scrapers, crawlers) to access or collect data from the Services without our prior written consent
- Submit false, misleading, or fraudulent information through any form or feature
- Circumvent or attempt to circumvent rate limits, security measures, or access controls
- Harass, threaten, or abuse other users of the platform
- Use the platform to send unsolicited commercial messages (spam)
- Reverse engineer, decompile, or disassemble any part of the Services
- Use the Services in a manner that could damage, disable, overburden, or impair our servers or network
- Attempt to circumvent tier-based feature limits, usage quotas, or subscription requirements through technical manipulation or multiple accounts
- Create multiple accounts to evade an account suspension, ban, or email blacklist
- Abuse the AI matching system by submitting false or misleading requests designed to manipulate match scores
Disclaimers
11.1 Services Provided “As Is”
The Services are provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
11.2 No Endorsement
The inclusion of any Manufacturer in our directory or the generation of any match does not constitute an endorsement, recommendation, or guarantee by USA Factory Network. We do not verify, vouch for, or guarantee the accuracy of information provided by Manufacturers, including certifications, FDA registration status, capabilities, or pricing. Buyers are solely responsible for conducting their own due diligence before entering into any business relationship with a Manufacturer.
11.3 AI Matching
Our AI-powered matching feature uses algorithmic analysis to suggest potential Manufacturer matches based on available data. Match scores and recommendations are computational estimates and should not be relied upon as the sole basis for any business decision. We make no guarantees regarding the accuracy, completeness, or suitability of AI-generated matches.
Limitation of Liability
To the maximum extent permitted by applicable law, USA Factory Network, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or related to your access to or use of (or inability to access or use) the Services, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, even if we have been advised of the possibility of such damages.
Our total aggregate liability for all claims arising out of or related to the Services shall not exceed the greater of (a) one hundred US dollars ($100.00) or (b) the total amount you have paid to us in subscription fees during the twelve (12) months preceding the event giving rise to the claim.
USA Factory Network is not a party to any transaction, agreement, or arrangement between Buyers and Manufacturers. We bear no responsibility or liability for the quality, safety, legality, or delivery of goods or services exchanged between users, disputes between users, or any damages resulting from business relationships formed through the platform.
Indemnification
You agree to indemnify, defend, and hold harmless USA Factory Network, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: your use of the Services; your violation of these Terms; your violation of any applicable law or regulation; your User Content; any dispute between you and another user of the platform; or any business relationship, transaction, or arrangement formed through or facilitated by the Services.
Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising out of or related to these Terms or the Services shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association, with arbitration proceedings conducted in English. The arbitrator's decision shall be final and binding. Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction.
Modifications to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will update the effective date at the top of this page and, where practical, provide notice through the Site or via email. Your continued use of the Services after any modification constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Services and delete your account.
Account Moderation, Suspension, and Termination
16.1 Suspension
We may temporarily suspend your access to the Services for a specified period if we determine, in our sole discretion, that you have violated these Terms or engaged in conduct that threatens the integrity of the platform. Suspended users will be unable to log in or access any platform features during the suspension period. Suspension durations are determined on a case-by-case basis.
16.2 Permanent Ban
We may permanently ban your account for serious or repeated violations of these Terms. A permanent ban results in: (a) immediate loss of access to all platform features; (b) deactivation of any Manufacturer listing you own; and (c) at our discretion, addition of your email address to our sign-up blacklist to prevent creation of new accounts.
16.3 Email Blacklist
We maintain an email blacklist to prevent sign-up by specific email addresses or email domains that have been associated with abusive or fraudulent activity. If your email or domain is on our blacklist, you will be unable to create a new account.
16.4 Effect on Subscriptions
If your account is suspended or banned while you have an active Premium subscription, your subscription will not be automatically canceled. You are responsible for canceling your subscription through Stripe's billing portal. We are under no obligation to provide refunds for any remaining subscription period following a suspension or ban that results from your violation of these Terms.
16.5 Reinstatement
Reinstated accounts may not have all prior data or features restored. Reinstatement is at our sole discretion and does not automatically reactivate deactivated Manufacturer listings.
16.6 Survival
Sections 6 (Subscription Billing and Payments), 8 (User Content), 9 (Intellectual Property), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), and 14 (Governing Law and Dispute Resolution) shall survive termination of these Terms.
Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms shall remain in full force and effect.
Entire Agreement
These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and USA Factory Network regarding the Services and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
